It turns out that back in June 2015 the Board of Directors of Bashneft adopted a program of additional remuneration for the president of the company, as well as a program of "long-term motivation" for employees, allowing members of the board of Bashneft - the so-called "Corsican clan" - to receive 460% of the annual salary. It seems that the people of Corsica understood perfectly well that the chairs beneath them are unsteady - the company will necessarily be privatized and this privatization can go along an undesirable scenario for them. That is why in the Regulation adopted in 2015, it was stipulated that the programs will be completed as soon as a controlling stake is taken by a third party, including, we stress, also to companies directly or indirectly controlled by the state. In connection with this event (this is how Bashneft's privatization in the above-mentioned document, which was at the disposal of the editorial office, is indicated with a capital letter), the president and all his officials have the right to early payment of remuneration. And at the same time - what simply looks shameless - labor efficiency indicators may not be taken into account at all. Equally outrageous are the dimensions of these "golden parachutes". Just imagine - the payment program specially designed for Alexander Korsik provides for a reward of 575% of the annual salary. A little less is expected to be paid to the members of the company's board. Employees of the central apparatus - from 18 to 280%, and the general directors of subsidiaries - from 160 to 460%. Moreover, according to this provision, the company is obliged to ensure the repurchase of shares purchased by top managers. The total size of the "golden parachutes" top-managers can be more than 2 billion rubles. And this is not counting payments for short-term incentive programs. Where the oil went The possible change of the controlling shareholder was perceived by the top management of Bashneft as the basis for conducting additional audits of their financial and economic activities and assessing the company's economic efficiency. Which, of course, created a threat of non-payment of superbons. By the way, I would like to remind you that according to the labor legislation, compensation payments to the president and members of the board of state companies in case of early termination of employment contracts can not exceed their threefold monthly earnings. However, payments to top managers associated not with the company's economic performance, but solely with the change of shareholder - a phenomenon entirely in the spirit of "Corsican" morals. And the "golden parachutes" in question are copecks compared to those large-scale embezzlements that appear to have been observed at Bashneft's enterprises already after it became state property in 2014. About what happened in the bowels of Bashneft, it was reported more than once. For example, in April 2016, the Novaya Gazeta correspondent Irek Murtazin referred to documents handed to him by a law enforcement officer - in particular, it was a report drawn up following the internal audit of Bashneft. Then, according to the publication, the auditors studied how the finished products were recorded in two company's enterprises - Bashneft-Uralneftekhim and Bashneft-Novoil. As a result, blatant violations have emerged into the light of God. In particular, in the pipes and reservoirs were concealed the remains of petroleum products, which underestimated the real volumes of output. Also, the receipt or shipment of fuel was not properly reflected. In addition, there were some "commodity losses". In general, shrinkage, utruska - just like a Soviet vegetable garden. And the scale of this was simply amazing. For example, the norm of accounting for the error in the deviation of the mass of receipt and shipment of oil products is 0.25 percent. However, at the above enterprises, the gasoline deviation was 98 percent, or 1,390 tons. "And the difference of 26 to 37 percent has become almost the norm," the article noted. At the same time, the loss of goods was 2.5 times higher than the norm, due to which in June last year 173 404 tons of gasoline and 26 982 tons of diesel fuel were lost to Uralneftekhim. All this brought the oil business professionals to the opinion that theft of petroleum products was likely to flourish at the Bashneft enterprises. At the same time, it should not be surprising that the first persons of the company who were supposed to be kind of indignant about what was happening and turn to law enforcement agencies with a request to sort it out did not do so. There can be only one suggestion here: they feared that a close inspection could reveal such violations that the main book for Bashneft executives would be the Criminal Code instead of a check. "Lukoil" here as here And if it was only about this. "Our Version" has long been following the lawlessness that was going on at Bashneft and its administration. As you know, the decision to return Bashneft to the state ownership was taken in October 2014. However, the return of shares is not a fast one, the whole process dragged on until the beginning of December. And at this very time, when it became already clear that the old full life is over, the "tops" of Bashneft were not idle. According to Novaya Gazeta, during this short period, from October 30 to December 9, the company's board of directors approved transactions for the sale of oil products for a crazy amount of 443 billion rubles. For comparison, 88% of the book value of the whole Bashneft is estimated in this way. To whom was it decided to sell oil? The following companies are named - for example, some Exim Group received fuel for 85 billion rubles, Arctic Bunker also for 85 billion rubles, Trubond Limited for 98.5 billion rubles), Minko Enterprise Limited and Trade Nafta "- by 83 billion rubles. It would seem that there is such an ordinary deal here, even if it is for large sums ... The only thing is that all these companies are under the control of one person - Mikhail Golub, about whom you can learn a lot of interesting things on the Internet. A representative of the 90's, engaged in muddy schemes for the trade in petroleum products. And here to him through LLC Bashneft-Polyus actually got all the oil extracted from the promising Trebsa and Titov deposits. And most importantly - at below-market prices. So, at least, says Novaya Gazeta. And then even more interesting - this oil Dove in turn resells to another buyer. Not because he does not need it, but because it needs to be transported from the field somehow, and there is only one oil pipeline in the region. And it belongs to the structure of LUKOIL, OOO Lukoil-Rezervnefteprodukt. At the same time, LUKOIL itself buys oil at an absolutely adequate market value. What does all this mean? Probably, that's what - it seems, thus oil is sold first at a lower price, then Lukoil buys it at a market price, and the difference is divided between the participants in the scheme and settles in offshore. It should be noted that as early as in 2014, Bashneft-Polyus directly sold oil to Lukoil-Rezervnefteprodukt. However, then suddenly an intermediary appeared in the person of Michael Dove. Was it because the Corsican clan understood that the company was about to be de-privatized, so that the state would appoint a new leadership that would probably find strange contracts and review them? Very strange transactions A rummaging in all this farm "Bashneft" would clearly be worth it. Take, for example, the relationship with Lukoil-Rezervnefteprodukt. The media gives amazing data: it turns out that one of the largest buyers of raw materials from this company is acting - who would you think? Bashneft itself! If so, it turns out that Bashneft buys the same oil from Lukoil as it previously sold. Although it could from the very beginning send it for processing to its factories, the company has three refineries capable of processing 24 million tons of oil a year. Bashneft itself produced only 19.9 million tons in 2015, and even less in 2014. Therefore, in order to load factories, you need to buy oil on the side. But why at the same time sell your own? It's like having a cow and selling milk, and most then go for it to the store. Why such difficulties? Or are they designed to hide some secret schemes that go beyond honest entrepreneurship? By the way, according to Novaya Gazeta, last summer Bashneft signed an agreement under which Lukoil-Rezervnefteprodukt will supply oil for 192 billion rubles. The deal is calculated before the end of January 2017 with the possibility of further extension of the contract for another year and a half. Exactly for the same period, two other contracts for the supply of finished goods and crude oil, concluded in the same summer, are calculated. The counterparty for one of them, worth 193.9 billion rubles, is a certain company Litasco, in fact being a subdivision of OAO Lukoil. The second contract for 40 billion rubles was signed with the company Somitekno Ltd, registered in the British Virgin Islands. About this company nothing is known except that before Bashneft had already concluded an agreement with it on the supply of oil for 98.5 billion rubles. I wonder if the current owner of the company will have a desire to understand on what grounds all these strange deals were concluded? After all, now, it seems, Bashneft, indeed, has been under state control.
